Introduction

Alderbrook Wealth Partners is registered with the U.S. Securities and Exchange Commission as an investment adviser. Brokerage and investment advisory services and fees differ, and it is important for you to understand the differences. Free and simple tools are available to research firms and financial professionals at Investor.gov/CRS, which also provides educational materials about investment advisers, broker-dealers, and investing.

What investment services and advice can you provide me?

We offer investment advisory services to retail investors, principally:

We do not hold your money or investments. Your assets are held at a qualified, unaffiliated custodian. We review your account on an ongoing basis, and at least as often as the schedule we set with you (generally once or twice a year). We do not impose a strict account minimum.

Conversation starters: Given my financial situation, should I choose an investment advisory service? Why or why not? How will you choose investments to recommend to me? What is your relevant experience, including your licenses, education, and other qualifications?

What fees will I pay?

You pay an ongoing asset-based fee for investment management. The fee is a percentage of the assets we manage for your household and is billed quarterly, calculated on your account value at the end of each calendar quarter.

Because our fee is based on the amount of assets in your account, we have an incentive to encourage you to increase the assets in your account. You will also pay costs charged by the funds you hold and any fees charged by the custodian. These are separate from and in addition to our fee. You will pay fees and costs whether you make or lose money on your investments. Fees and costs will reduce any amount of money you make on your investments over time. Please make sure you understand what fees and costs you are paying.

Conversation starter: Help me understand how these fees and costs might affect my investments. If I give you $10,000 to invest, how much will go to fees and costs, and how much will be invested for me?

What are your legal obligations to me when acting as my adviser? How else does your firm make money and what conflicts of interest do you have?

When we act as your investment adviser, we have to act in your best interest and not put our interest ahead of yours. At the same time, the way we make money creates some conflicts with your interests. You should understand and ask us about these conflicts because they can affect the investment advice we provide you.

We are fee-only: our only compensation for advice is the asset-based fee you pay us. We do not earn commissions, and we do not receive payments from fund companies or any other third party for recommending their products. The main conflict is the one noted above — because we are paid on assets, we have an incentive to grow the assets you hold with us.

Conversation starter: How might your conflicts of interest affect me, and how will you address them?

How do your financial professionals make money?

Our professionals are compensated through salary and the overall profitability of the Firm. They are not paid commissions, and their pay is not tied to selling any particular product or fund. This reduces the incentive to recommend one investment over another for the wrong reasons.

Do you or your financial professionals have legal or disciplinary history?

No. Visit Investor.gov/CRS for a free and simple search tool to research our firm and our financial professionals.

Conversation starter: As a financial professional, do you have any disciplinary history? For what type of conduct?
